ES&S Acquires Office Automation Systems.

Core Business Extension Will Allow For Continued Growth; New Product Offerings

OMAHA, Neb. -- Election Systems and Software, Inc. (ES&S), the nation's leading provider of voting solutions, said today that it has acquired Office Automation Solutions, Inc. (OAS), the market leader in the development of comprehensive public information management solutions.

The OAS acquisition, which is ES&S's first extension of its capabilities outside voting and elections, will broaden and compliment ES&S's current line of business solutions to Secretary of States and other related agencies, further enhancing its ability to provide systems and expertise that reinforce transparency and good government.

Based in Cary, N.C., OAS is currently the only company in the U.S. that supplies corporate registry systems to state government. OAS products enable the filing of and access to information on corporate entities; business-to-business integration filing; UCC filing, document and certificate ordering; and search-ability function for citizens looking for information on corporations.

OAS is the developer of the Secretary of State Knowledge Base (SOSKB) software program. Originally developed for the State of North Carolina, OAS clients which have implemented the SOSKB shared government software model have dramatically increased efficiencies, reducing the costs and time associated with filing and managing of business and corporation information.

Terms of the transaction were not disclosed.

"Since our first agreement with North Carolina in 1999, OAS has grown substantially. But it is time to take our company and new development programming to the next level," said Robert Hull, president of OAS. "By being a part of ES&S, we can expand our footprint, be able to take on larger projects with states ES&S already has existing relationships, and to pursue new business opportunities."

Hull will report directly to Tesi. All 32 OAS current employees will move into ES&S existing offices in Cary, North Carolina.

Tesi said in addition to providing ES&S with a new product offering for new and potential clients, ES&S will provide OAS with the funds needed for the development of its generation of software solutions to government clients.
