The 802DSL acquisition includes all of the current customers and equipment on the network, as well as multiple transmission towers strategically located in, and providing access to, a geographic area in central Texas covering approximately 10,000 square miles.

Several of the transmission towers utilized by 802DSL were purchased by ERF Wireless as the result of bankruptcy proceedings bankruptcy proceedings n. the bankruptcy procedure is: a) filing a petition (voluntary or involuntary) to declare a debtor person or business bankrupt, or, under Chapter 11 or 13, to allow reorganization or refinancing under a plan to meet the debts of the party  from a third-party company and, therefore, the overall terms of the transaction with 802DSL were not disclosed. However, ERF Wireless indicated that the strategic location of the 802DSL acquisition provides additional wireless broadband coverage for the company in geographic areas currently not served by, but bordering on, both existing and planned ERF Wireless broadband networks. In particular, the 802DSL coverage borders on some of the wireless broadband network coverage of the Enterprise Network Services subsidiary of ERF Wireless that provides encrypted high-speed wireless broadband networks for regional banks.

ERF Wireless additionally plans to utilize the 802DSL network facilities to expand its existing wireless Internet backbone (communications, networking) Internet backbone - High-speed networks that carry Internet traffic.

These communications networks are provided by companies such as AT&T, GTE, IBM, MCI, Netcom, Sprint, UUNET and consist of high-speed links in the T1, T3, OC1 and OC3 ranges.

This will be accomplished through a conduit of transmission towers relaying wireless broadband bandwidth from the Internet backbone located in Houston out to many of the rural communities that ERF Wireless serves. ERF believes such a strategy is an essential part of its overall business plan of generating recurring revenue through the acquisition and/or construction of wireless broadband networks in many underserved parts of the country.
