 RESOLVING SHAREHOLDER OBJECTION TO SETTLEMENT
 NORTH BERGEN, N.J., Jan. 8 /PRNewswire/ -- Emerson Radio Corp. (NYSE: EME) reported today that the United States District Court for the Eastern District of New York has approved an agreement resolving an objection made by one shareholder to the previously announced court-approved settlement of certain shareholder class and derivative litigation against Emerson.
 In October 1991, the court approved the settlement over the shareholder's objections. The shareholder appealed the court's ruling. Under the agreement, the shareholder is required to withdraw irrevocably the appeal and the objections to the settlement. Under the agreement, which will not require the company to make any cash payment, the company has agreed, among other things, to certain restrictions with respect to the grant of stock options.
 Emerson further reported the court's approval of the agreement also satisfies one of the conditions to the company's transaction with Semi- Tech (Global) Limited and the investment proposal received from Fidenas Investment Limited.
 Emerson Radio Corp. designs and markets a full line of popularly priced consumer electronics products. The range of the company's products includes televisions, video cassette recorders, portable compact disc players, radios, stereo systems, tape players and recorders, microwave ovens and fax machines. Emerson Computer Corp., a wholly-owned subsidiary, designs and markets a full line of IBM compatible computers and peripherals.
