EL PASO ELECTRIC CONFIRMS DISCUSSIONS WITH CENTRAL AND SOUTH WEST CORPORATION

 EL PASO, Texas, Jan. 13 /PRNewswire/ -- El Paso Electric (NASDAQ-NMS: ELPAQ) confirmed an announcement made earlier today by Central and South West Corporation (NYSE: CSR) that the two companies have engaged in preliminary discussions concerning a possible plan of reorganization to be filed in the United States Bankruptcy Court for the Western District of Texas, Austin Division, wherein EPE would emerge from bankruptcy as a direct, wholly-owned subsidiary of Central and South West.
 EPE emphasized that the discussions with Central and South West and with other third party merger candidates are preliminary in nature and are a routine and integral part of the reorganization process. Discussions with Central and South West and with other potential merger candidates will continue as EPE explores all of its reorganization alternatives, including the possibility of emerging from bankruptcy as an independent, stand-alone company.
 EPE stated that, pursuant to its policy of not commenting on rumors, merger or acquisition discussions or possibilities, or market activity except as required by law, it does not intend to comment further or to release additional information about its discussions with Central and South West, other third party merger candidates or creditors, or about related matters unless or until required by law.
 El Paso Electric Company, which filed a voluntary petition under Chapter 11 of the United States Bankruptcy Code on Jan. 8, 1992, is an electric utility serving approximately 250,000 customers in El Paso, Texas, and an area of the Rio Grande Valley in West Texas and Southern New Mexico.
