 Resources Ltd. (the "Company") announces that it is continuing with its negotiations of a definitive acquisition agreement (the "Definitive Agreement") with Mutiara Resources Corporation Pte. Ltd. ("Mutiara") regarding the major property acquisition (the "Acquisition") previously announced in its press release dated August 20, 1996. The proposed terms of the Acquisition remain as described in the previous press release. Further details will be announced upon execution of the Definitive Agreement.

Trading in the common shares of the Company has halted, at the Company's request, prior to the opening of trading on August 19, 1996. Trading will resume upon receipt of regulatory approval for the Acquisition.
