("Cassidy") under a private placement at $0.50 each. Each unit consists of one common share and one share purchase warrant. Each warrant is exercisable into one additional common share of Cassidy at a price of Cdn$0.75 for a period of 24 months after the date of the closing of the offering. These holdings represent a 10.3% interest in Cassidy, on an undiluted basis, and 18.7% assuming the exercise of all warrants held.
