Duke Announces Final Voting Results of Annual Meeting; Merger with Weeks Corporation Overwhelmingly Approved by Shareholders.

) reported today the certified See certification.  results of seven proposals voted upon by shareholders on June 18, 1999.

As previously announced, shareholders overwhelmingly approved the Company's merger with Weeks Corporation with 80.9 percent of outstanding shares and 98.3 percent of shares voted cast in favor of the merger. Other proposals approved by at least 85.3 percent of the Company's outstanding shares included i) the re-election of three directors; ii) the approval of the Company's 1999 Director's Stock Option and Dividend Increase Unit Plan; iii) the approval of the 1999 Salary Replacement Stock Option and Dividend Increase Unit Plan; and iv) the approval of an additional 100,000 authorized au·thor·ize

Duke also announced today that 79.4 percent and 75.7 percent of eligible shares were voted in favor of its proposals to increase the size of the Company's Board of Directors and amend its articles of incorporation The document that must be filed with an appropriate government agency, commonly the office of the Secretary of State, if the owners of a business want it to be given legal recognition as a corporation. , respectively. These proposals required at least the affirmative vote of 80 percent of the shares eligible to vote and, therefore, did not pass. Upon completion of the merger, the Duke-Weeks Board of Directors will consist of 10 independent directors and five affiliated members for a total of 15 directors.

Duke Realty Investments is a fully integrated real estate company that owns interests in a diversified portfolio of primarily industrial and office properties located in eight Midwestern cities. This portfolio includes 538 properties encompassing approximately 65 million square feet including today's announcements.
