You can purchase the form from a law / legal stationers or formation agent. These forms cost approximately £20 - £30. You can also search your telephone directory for the local stockist. Once you have purchased the forms there is certain documentation work to be done. Let us discuss the necessary documentation that you need to do before you approach a UK company register. While filling up the Memorandum of Association part, one is stuck at the 'objects of the company'. By object, you need to mention what the company would do, like 'General Commercial Trading' and so on. Also you need to provide a registered office address. You can use PO Box number as an address, on condition that the full address is provided, including the postcode, which is to be validated by the Royal Mail. These are the facts which you should know when you go for UK company formation. In Form 10 you are needed to provide the name and address of the directors and the secretaries of your company. Private companies should have at least one director and the public companies must have two directors and one secretary. It is not necessary that a company should have only corporate directors. Companies need to appoint one natural person meaning, individual, as a director. But according to the section 157 of the Companies Act 2006 on 1 October 2008 the minimum age limit for a person to become a director has been set to be sixteen. Also the Companies Act specifies that the officers should provide their private address and not the corporate or PO Box number. However they can give the PO Box address if it is validated by Royal Mail. There is no rule as such that the applicant should be a resident of UK and he could very well belong to other country. In Form 12 all the directors, officers, subscribers, should sign, even if they have signed Form 10. This is because by signing this statutory declaration all the members consent to the information given in the document and also that they will adhere to the duties and the responsibilities that go with it. Even the subscribers or agents need to sign Form12, as by doing this they show that they are the owners or owners' representative who are standing for the directors or the secretaries mentioned in the document. This Form12 allows the prosecution under the Perjury Act to hold the trespasser company to disclose its company policies under Companies Act if found guilty of any such action. If certain amendments or additions are to be made then a separate declaration is to be made by the applicant/s that the additional information given is correct. Remember when you submit these three forms with other necessary documentation you will be registered with Companies House. But the certificate provided by them does not ensure the issue of the legalization certificate. The certificate provided to you by the Registrar of Companies is stamped or electronically signed .You need to ask for 'certified certificate' where the certificate will bear the original signature or seal of a British public official. This is accepted by The Foreign and Commonwealth Office for the issue of legalization certificate. One thing which you need to know is that, even if you register your company with Companies House, your trade mark is not secured. There is a different trade mark law which you need to follow to secure your trade mark. How ever you must ensure that you are not using the trade mark of another company as your company name.
