* Lead directors receive half the additional pay received by non-CEO board chairs

* 20 percent of boards now have lead directors

* 30 percent of boards do not have the CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board.  in the chair's seat

* 9 percent of boards have independent board chairs

* 80 percent of companies now pay more to audit and compensation committee members

* Total pay for directors has decreased 4 percent, to $102,000, due to the reduced value of stock option grants

* The average retainer A contract between attorney and client specifying the nature of the services to be rendered and the cost of the services.

Retainer also denotes the fee that the client pays when employing an attorney to act on her behalf.
 (paid by 93 percent of companies) is $32,000.
