Digigram Bolsters Public Address Commitment By Becoming Innova-Son Stockholder.

MONTBONNOT, France--(BUSINESS WIRE)--Jan. 17, 2001

Digigram, an innovator in networking solutions for digital audio and remote management, announced today that it has become a stockholder of Innova-Son, a professional audio console manufacturer A console manufacturer is a company that manufactures and distributes video game consoles. It is also known as a first-party video game publisher. Historically, some of the most recognized console manufacturers include:
 for live performance, television, theatre, conferencing and corporate events.

As of January 16 Digigram controls 27 percent of the shares of French-based Innova-Son and 33 percent of the shares of Deroch, a holding company that owns 42 percent of Innova-Son. Digigram financed the share purchase with cash on hand. The capital investment firm Epicea (Siparex group) will control 21 percent of Innova-Son.

The deal gives Digigram the rights to take full control of Innova-Son - during a period between the end of fiscal/calendar year 2001 and September 30, 2002 - providing Innova-Son reaches a determined level of financial performance in 2001.

The investment bolsters Digigram's commitment to the public address market, which will account for a projected 25 percent of revenue by 2003.

Innova-Son was the first company to introduce and deliver all-digital consoles to a market that is moving from analog to digital technology.
