Donna Anderson, President/CEO of Definition, LTD (OTCBB:DFNL) announced today the pending acquisition of RBSI is nearing completion and provided the following information on RBSI:

RBSI is a Nevada corporation formed in November of 1997. Subsequent to its formation, it formed, acquired, invested in, and now manages several companies involved in Automated Teller Machine (&uot;ATM&uot;) and Electronic Fund Transfer (&uot;EFT&uot;) data processing industry. These companies are currently operating in the United States and Canada with plans to expand into international markets. The RBSI companies provide ATM hardware, check-cashing kiosks, transaction processing switch software, transaction processing, and management services through its affiliates and subsidiaries:

ATM International, Inc. (&uot;ATMI&uot;), a Nevada Corporation, started operations in 1992 and has been involved in the sales, marketing, and placement of ATMs in retail locations throughout the United States. With current headquarters based in Dallas, ATMI works primarily through a network of independent distributors and resellers who either sell the ATM hardware to retailers or place the ATM at no cost.

SmartATM Management, Ltd. (&uot;SmartATM&uot;), a Nevada Limited Liability Company, specializes in turnkey ATM management outsourcing, including ATM equipment ordering, shipment, installation, promotional signage, monitoring, cash replenishment, 1st and 2nd line maintenance, help desk, armored car, vault cash, balancing, dispute resolution and revenue reporting, distribution and accounting.

RBSA, Incorporated (&uot;RSBA&uot;), a Nevada Corporation, began operations in August of 1997 and specializes in electronic transaction processing and switch software for the ATM industry. RBSA provides processing services to ATM deployers, retail chains, and small to medium-size financial institutions in the United States. RBSA also sells and maintains switching software for financial institutions, ATM Deployers, and other data processors in the US, Canada, and Mexico.

SmartCash Leasing, a DBA company of RBSI, provides lease financing for the ATM industry. SmartCash Leasing provides an additional profit center for RBSI and provides ATM Deployers a valuable tool to close more sales.

SmartCash ABM, Inc., (SmartCash ABM), was incorporated in 1998 in Hamilton, Ontario, and provides sales, marketing, and placement of ATMs in retail locations throughout Canada similar to the services of ATMI provides in the US.

TNS Smart Network is a Toronto-based corporation that provides processing services for &uot;WhiteLabel&uot; (non-bank) industry in Canada. TNS has experienced remarkable success in its first two years of operations and is the largest White Label processor in Canada. TNS currently drives over 1,200 ABMs.
