Although revenues were flat for the second quarter 1999, the organizational re-structuring efforts are nearly complete. The Company is currently seeking financing to initiate the sales and marketing program developed under the re-structuring. The financial information for 1999 no longer reflects income from dissolved Cyberlink company in 1998.

Currently, the Company has proposed and/or bid in excess of $50 million in Energy Miser System sales, and remarks that one bid has been awarded during first quarter 2000. The gross sale was approximately $250,000 with a net for the Company of approximately 10 percent, and required approximately one year to complete. The sales (bid-to-award) process for the Energy Miser systems can range from as little as one month to 2 years.

The Company also reported during the 2nd fiscal quarter the Company had entered into several Strategic Partnership Agreements and had been awarded an energy services contract. ) was awarded to the Company to perform lighting retrofit and energy management services. Strategic Partnership Agreements were completed with Lighting Management Consultants of Houston, Texas to perform lighting retrofit services for the Company's lighting bids awarded, and with Moore and Associates of Washington, DC to align the Company with a minority owned business who bids and manages energy management service contracts.

DeMarco Energy Miser heating and cooling systems are produced and privately labeled under a licensing agreement by Florida Heat Pump Manufacturing, Inc of Ft. Lauderdale, Florida. FHP Manufacturing is ranked among the industry's top three manufacturers and distributors of water source heat pumps.
