Datatec Systems Appoints Deloitte & Touche as Auditor.

Business Editors

FAIRFIELD, N.J.--(BUSINESS WIRE)--April 12, 2002

Datatec Systems, Inc. (Nasdaq: DATC DATC - Davis Applied Technology College (Kaysville, Utah)
DATC - Days After Test Completion
DATC - Deferred Adverse Tax Consequence
DATC - Direct Assistance & Training Command
DATC - Director of Air Traffic Control
), a leading provider of technology deployment services and software tools, today announced that its Board of Directors, on the recommendation of the Audit Committee, has withdrawn its proposal to appoint Arthur Andersen LLP as the company's independent auditors, effective immediately. The decision was made in view of recent developments concerning Arthur Andersen.

Following a thorough evaluation by the Board of Directors, its Audit Committee and management, Datatec Systems has appointed Deloitte & Touche LLP to replace Arthur Andersen as the company's independent auditors. The decision to change auditors was not the result of any disagreement between the company and Arthur Andersen on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure.

"We have a high regard for the professional services rendered by Arthur Andersen over the years," said Isaac J. Gaon, Datatec's Chairman and Chief Executive Officer. "However, in light of the current uncertainties at Arthur Andersen, we believe that a change in auditors at this time is in the best interest of the company." Mr. Gaon added, "We are impressed with the experience of the professionals at Deloitte & Touche and look forward to working with them as our new auditors."
