Datamark Inc. is Pleased to Announce the Transaction to Acquire Systems Business Forms Limited.

6 MONTREAL--(BUSINESS WIRE)--July 2, 1998--(ME:DMK.) Mr. Jeffrey Zunenshine, President of Datamark Inc. ("Datamark") is pleased to announce the closing of the previously announced transaction to acquire Sytems Business Forms Limited ("Systems"). The purchase price for the shares of Systems was comprised of $2,438,880.54 cash and the issuance of 2,187,756 common shares of Datamark, which were valued at $3.08 per share, for a total of $9,177,228. Systems has approximately $3,700,000 of existing debt.

6 The acquisition of Systems, whose sales and earnings before interest, taxes, depreciation and amortization (EBITDA) were approximately $20,800,000 and $2,900,000 respectively, will raise Datamark's annualized gross revenues to over $90,000,000 and will strengthen Datamark's position as one of the largest document management and business forms companies in Canada.

6 Systems, whose head office is in Winnipeg, is primarily concentrated in Western Canada. The transaction will allow Datamark to be a truly national company.

6 Systems is a major supplier to the airline industry, which will enhance Datamark's ability to market its existing baggage tag technology.

6 Systems and Datamark have few overlapping accounts and the company expects that System's manufacturing facilities will further complement the sales efforts of the total sales force.
