 offer to acquire all of the company's outstanding stock. The board of directors of the company decided that it would consider the offer and would also entertain offers from other potential buyers.

The company established a formal process to provide interested parties with the information they need to submit an offer before the mid-August deadline. "We will conduct the process in a fair and open manner," said John Merson, president of the company. "At the same time, it is important to bring the process to an early close to maintain the company's strong momentum as we move into our high season."
