:DPL), the parent company of The Dayton Power and Light Company, today held its annual meeting of shareholders. Shareholders elected four members to the Board of Directors and approved a stock option plan.

Re-elected were Directors Mr. Ernie Green, President and Chief Executive Officer, Ernie Green Industries; Mr. David R. Holmes, Chairman and Chief Executive Officer, The Reynolds and Reynolds Company; and Mr. Burnell R. Roberts, Retired Chairman of the Board and Chief Executive Officer, The Mead mead (mēd), wine made of fermented honey and water, sometimes flavored with spices. It is highly intoxicating. The approved stock option plan replaces several other programs and will be the primary long-term incentive program for both executives and directors. The option plan is intended to align the interests of management and directors with those of shareholders by directly linking long-term incentive compensation opportunities to increases in DPL's share price.
