:DPL) today held its annual meeting in Fort Recovery, Ohio Fort Recovery is a village in Mercer County, Ohio, United States. The population was 1,273 at the 2000 census. The village is near the location of Fort Recovery, first established in 1793 under orders from General Anthony Wayne. . Peter H. Forster, DPL Chairman, and Stephen F. Koziar, DPL President and Chief Executive Officer, reviewed last year's results and discussed their views of 2003.

DPL shareholders elected three Directors to the Board with a term expiring in 2006. Mr. Ernie Green, President and CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board.  of Ernie Green Industries; Mr. Wallace Creek, former Controller of General Motors Corporation and currently Senior Vice President of Collins & Aikman Corporation; and Mr. Michael W. Grebes resemble the loon and the duck; they have short wings, vestigial tails, and long, individually webbed toes on feet that are set far back , former Chairman and CEO of Foley and Lardner and currently CEO of The Lynde and Harry Bradley Foundation. The business experience and leadership of each of these individuals will be a valuable asset to DPL Inc. shareholders.

The Board also elected Ms. Caroline E. Muhlenkamp, President of MVE, Inc., to the additional position of interim Group Vice President and Chief Financial Officer of DPL Inc. Ms. Muhlenkamp is active in dealing with the financial community, individual and corporate shareholders, rating agencies and has held positions of responsibility in DPL's financial areas over the past thirteen years.

Ms. Libby McCarthy, former CFO See Chief Financial Officer. , has decided to pursue other outside opportunities.
