(NYSE NYSE See: New York Stock Exchange :DPL) today announced it is extending, until Tuesday, February 19, 2002, its offer to exchange its 6 7/8% Senior Notes due 2011 pursuant to an offering registered under the Securities Act of 1933, as amended a·mend v. a·mend·ed, a·mend·ing, a·mends v.tr. 1. To change for the better; improve: amended the earlier proposal so as to make it more comprehensive. 2. , for a like principal amount of the Company's issued and outstanding 6 7/8% Senior Notes due 2011 offered in a private placement exempt from the registration requirements of the Securities Act. DPL also announced it will extend, until Tuesday, February 19, 2002, its offer to exchange the 8 1/8% Capital Securities of DPL Capital Trust II pursuant to an offering registered under the Securities Act of 1933, as amended, for a like principal amount of DPL Capital Trust II's issued and outstanding 8 1/8% Capital Securities offered in a private placement exempt from the registration requirements of the Securities Act. The terms and conditions of the exchange offer for the Senior Notes and the exchange offer for the Capital Securities are as set forth in the Company's prospectuses, each dated December 14, 2001, and the related Letters of Transmittal.
