DIMENSIONAL MEDICINE REPORTS SECOND QUARTER RESULTS AND ANNOUNCES SPECIAL SHAREHOLDERS MEETING

 MINNEAPOLIS, Nov. 17 /PRNewswire/ -- Dimensional Medicine, Inc. (DMI), a Minneapolis-based developer and marketer of radiology-related systems, reported operating revenues for the second quarter ended Sept. 30, 1993 of $1,047,388 compared to $933,263 for the second quarter last year. The net loss before extraordinary gain of $(277,728), or $(.08) per share, for the quarter compares with a net loss before extraordinary gain of $(350,465), or $(.10) per share for the prior year. The second quarter ended Sept. 30, 1992 was favorably impacted by an extraordinary gain of $17,963, or $.01 per share, arising from the forgiveness of debt during the quarter. There was not a similar gain during the 1993 quarter. The net loss of $(277,728), or $(.08) per share for 1993 compares to a net loss of $(332,502), or $(.09) per share for the 1992 quarter.
 For the six months ended Sept. 30, 1993, DMI reported operating revenues of $2,346,973 and a net loss before extraordinary gain of $(369,018), or $(.10) per share. This compares to operating revenues of $2,046,767 and a net loss before extraordinary gain of $(497,170), or $(.14) per share, for the six months ended Sept. 30, 1992. Extraordinary gain for the six months ended Sept. 30, 1992 of $56,337, or $.02 per share, reduced the net loss to $(440,833), or $(.12) per share. There was no extraordinary gain during the six months ended Sept. 30, 1993, and the net loss remained at $(369,018), or $(.10) per share.
 DMI also announced that a special meeting of shareholders will be held on Friday, Dec. 17, 1993, at 3:30 p.m. at the company offices. A notice of the special meeting, and proxy materials, have been sent to the Oct. 20, 1993 shareholders of record.
 The purpose of the special meeting is to approve the increase in the authorized number of shares from the current 10,000,000 shares to 50,000,000 shares to allow for the issuance of 27,533,441 shares to National Computer Systems, Inc. (NCS) pursuant to an agreement with NCS dated Aug. 5, 1993. The agreement provides, among other things, the elimination of a significant portion of the company's outstanding indebtedness to NCS as a result of the shares being issued. The agreement also provides for the issuance of 1,326,673 shares of common stock to the company's employee stock ownership plan. Once the agreement is implemented, NCS will hold 85 percent of the then outstanding shares of the company.

Operating results for the second quarter are primarily a result of the completion of contracts that were in process at the beginning of the fiscal year. While the third fiscal quarter results are not expected to show immediate improvement, we hope that the implementation of the NCS agreement will allow DMI to improve its operating results in future quarters."
