DIGITAL COMMUNICATIONS CONSIDERING ACQUISITION PROPOSAL

 ALPHARETTA, Ga., Sept. 20 /PRNewswire/ -- Digital Communications Associates Inc. (NYSE: DCA) today announced that following the close of business on Friday, Sept. 17, it received an acquisition proposal from affiliates of Welsh, Carson, Anderson & Stowe to acquire DCA for cash at a price of $18.50 per share for its common stock.
 By its terms, the offer expires at 5 p.m. EDT today.
 DCA said that, upon receipt of the proposal, it referred the matter to a special committee of its board of directors which has engaged Robertson, Stephens & Company, L.P., as its financial advisor. The special committee considered the acquisition proposal over the weekend and the company's board of directors is meeting today to receive a report from the special committee as to its findings and recommendations and to act upon its proposal.
 DCA said that it would make an announcement upon conclusion of the board of directors meeting but, pending such an announcement, the company did not intend to make any further statements regarding this matter.
