D. Bradley `Brad' McWilliams Appointed to McDermott International Inc.'s Board of Directors.

NEW ORLEANS--(BUSINESS WIRE)--Aug. 4, 2003

McDermott International Inc. (NYSE:MDR) ("McDermott" or the "Company") announced today that Brad McWilliams has been appointed to McDermott's board of directors. He will be a member of the audit committee and the compensation committee.

"Brad brings an excellent financial and business background to our board," said Bruce W. Wilkinson, chairman and chief executive officer of McDermott. "Brad will greatly assist the board in its oversight of the Company's financial responsibilities and implementation of the provisions of the Sarbanes-Oxley Act."

McWilliams, 61, retired from Cooper Industries, Ltd. (NYSE:CBE) in April 2003 after nearly 32 years of service. He joined Cooper in 1971 as Manager, International Tax, held various positions in the financial area and was promoted to senior vice president and chief financial officer in 1995. McWilliams holds a B.B.A. degree in accounting and J.D. degree from the University of Texas. He is an attorney, a certified public accountant and did graduate work at New York University. He also completed the Harvard Advanced Management Program. McWilliams serves on the boards of Boston-based Kronos Incorporated, the Houston Chapter of Financial Executive Institute, the YMCA of the Greater Houston Area, Houston Chapter of the American Red Cross and the Association for Community Television.
