Cytyc Corporation Files Registration Statement for Resale of 2.25% Convertible Notes Due 2024.

BOXBOROUGH, Mass.--(BUSINESS WIRE)--June 9, 2004

Cytyc Corporation ("Cytyc") (Nasdaq: CYTC) today announced that it has filed a registration statement on Form S-3 with the Securities and Exchange Commission (the "SEC") relating to relating to relate prepconcernant

 the resale of $250 million aggregate principal amount of its 2.25% Convertible Notes due 2024 (the "Notes") and the shares of its common stock issuable upon conversion of the Notes. The Notes were originally issued in a private placement in March 2004.

When declared effective by the SEC, the registration statement will be available for use by the holders named therein to resell the Notes and the shares of Cytyc common stock issuable upon conversion of the Notes.

Cytyc will not receive any proceeds from the sale by any selling securityholder of the Notes or the shares of Cytyc common stock issuable upon conversion of the Notes.
