CytoDyn Restructures Its Board of Directors For Anticipated Growth.LOS ANGELES Los Angeles (lôs ăn`jələs, lŏs, ăn`jəlēz'), city (1990 pop. 3,485,398), seat of Los Angeles co., S Calif.; inc. 1850. -- At their 2005 Annual Meeting held in Los Angeles on January 31, 2006, the shareholders of CytoDyn, Inc. (OTCBB OTCBB See OTC Bulletin Board (OTCBB). :CYDY) overwhelmingly approved management's recommendations. This included reelecting scientist Allen D. Allen as Chairman of the Board. Mr. Allen invented the Company's targeted immune therapy for treating HIV/AIDS HIV/AIDS Human Immunodeficiency Virus/Acquired Immune Deficiency Syndrome and gave it the trade name Cytolin(R). To date, Cytolin(R) has been studied in human subjects through Phase I(b)/II(a) with encouraging results. Before joining the private sector, Mr. Allen was engaged in AIDS research and education with grants from OrthoBiotech, a division of Johnson and Johnson (NYSE NYSE See: New York Stock Exchange :JNJ JNJ Johnson and Johnson (stock symbol) JNJ Journal of Nursing Jocularity ), and other major pharmaceutical companies. More generally, CytoDyn's management recommended a restructuring of the Company's Board of Directors to facilitate growth. Toward that end, two previous Directors, who work for the Company, will no longer be on the Board of Directors. The Company is restructuring its Board in order to have "independent" Directors constitute a majority of its Board members. This is one of the prerequisites for moving the Company's shares from the Bulletin Board to a major stock exchange. Likewise, CytoDyn's shareholders elected a new and independent Director, Vera J. Stecher, Ph.D., a senior scientist who has worked for several of the major pharmaceutical companies. Dr. Stecher has been a Medical Director at Pfizer (NYSE:PFE 1. (text, editor) PFE - Programmer's File Editor. 2. (language) PFE - Portable Forth Environment. ) since 1994. From 1987 to 1994 she was a project team leader at Sanofi-Winthrop, and from 1981 to 1987 she served as Section Head of Immunology immunology, branch of medicine that studies the response of organisms to foreign substances, e.g., viruses, bacteria, and bacterial toxins (see immunity). Immunologists study the tissues and organs of the immune system (bone marrow, spleen, tonsils, thymus, lymphatic at Sterling Winthrop Research Institute. CytoDyn's Vice-President and Secretary, Corinne E. Allen, CPA (Computer Press Association, Landing, NJ) An earlier membership organization founded in 1983 that promoted excellence in computer journalism. Its annual awards honored outstanding examples in print, broadcast and electronic media. The CPA disbanded in 2000. , was also reelected and is responsible for advising management as to the rules and regulations for having shares listed on a major stock exchange. These rules are in some ways more stringent than the rules of the SEC. Ms. Allen previously served as a senior manager at Deloitte & Touche and is CytoDyn's resident expert on compliance issues. CytoDyn will be adding two more independent Directors, one of whom will be a financial expert to serve on the Audit Committee. With this structure, the Company's shares would qualify for listing on an exchange if the Company's anticipated joint ventures increase its valuation to the required level. Although there is no guarantee that CytoDyn will achieve the necessary valuation, the Company's goal is to be prepared to move its shares to a major stock exchange as soon as possible should the opportunity arise. |
