Cytec Holds Annual Meeting.

MAHWAH, N.J.--(BUSINESS WIRE)--May 13, 1996--Cytec Industries Inc. (NYSE:CYT) announced that, at the Company's Annual Meeting of Common Stockholders held today, Darryl D. Fry was reelected to the board of directors for a three year term ending in 1999.

Fry has been chairman of the board, president and chief executive officer of the company since it was formed in December 1993, following spin-off from American Cyanamid Company.

Jerry R. Satrum was also elected to the board of directors for a three year term ending in 1999. Satrum has served as chief executive officer of Georgia Gulf Corporation since February 1991 and as president since 1989, and prior thereto served as vice president-finance and treasurer from its inception. Satrum has been a director of Georgia Gulf Corporation since its inception. Satrum is also a director of NationsBank N.A. (South).

In addition to the directors named above, Cytec has four other directors; Frederick W. Armstrong, Director, MGI Pharma, Inc., retired vice president, Cyanamid; Gene A. Burns, retired executive vice president, chief financial officer and director, CPC International, Inc.; L.L. Hoynes, Jr., senior vice president and general counsel, American Home Products Corporation; and William P. Powell, managing director, Dillon, Read & Co. Inc.

Additionally, James G. Affleck, currently a member of the board, retired today from the board at the end of his term. Darryl D. Fry, chairman, president and CEO commented at the Annual Meeting. "Jim is one of the best executives and finest gentlemen I know. We wish Jim nothing but the best in his well deserved retirement."
