) have signed a definitive agreement whereby Cypress will acquire the Automotive Aftermarket Group of Dana Corporation for consideration of approximately $1.1 billion in cash. The transaction is expected to close during the third quarter of 2004 and is subject to customary closing conditions including regulatory approvals.
