However, as a result of the Company's transferring to The Nasdaq SmallCap Market, it was afforded a 180-calendar day grace period, which commenced on February 20, 2002. In addition, if by August 19, 2002 the Company is not in compliance with the minimum $1.00 bid price per share requirement, but is in compliance with the core initial listing criteria for The Nasdaq SmallCap Market, it may be granted an additional 180-calendar day grace period to demonstrate compliance with the minimum $1.00 bid price per share requirement. The Company noted that it believes it is currently in compliance with initial listing criteria for The Nasdaq SmallCap Market.

The SmallCap Market is well regulated and allows for the continued trading of CyberCare shares for the benefit of current and future shareowners.
