Cybear and PacifiCare Subsidiary Form Cross-Marketing Alliance.

Cybear Inc., a member of Andrx Corporation - Cybear Group (Nasdaq:CYBA), and PacifiCare Health Systems, Inc. (Nasdaq:PHSY), through its subsidiary, RxConnect Acquisition Corporation, today announced that they have entered into a cross-marketing alliance agreement to promote their respective technology tools and services.

The agreement reflects each organization's desire to promote increased quality and lower costs in health care through the use of technology. Cybear provides a suite of physician-oriented Internet products and services that complement PacifiCare's point-of care technology and other proprietary tools under development. PacifiCare, one of the nation's largest health care services companies, has been recently recognized as a leading high-tech innovator by InformationWeek magazine in its InformationWeek 500 List for 2001.

The marketing alliance further enhances the parties' relationship initiated by Cybear's agreement to amend and consent to the transfer of its existing patent license agreement (for Cybear's electronic prescription patents, Nos. 5,737,539 and 5,845,255) with ParkStone Medical Information Systems Inc. to PacifiCare's subsidiary, RxConnect. The patent license amendment, which includes the payment of additional consideration of $150,000 to Cybear, was negotiated in conjunction with the bankruptcy sale of ParkStone's assets to RxConnect, which was concluded last week.
