 company which is 94% owned by ANDRX CORPORATION (Nasdaq:ADRX ADRX Andrx Corporation (stock symbol) ), announced today its 1998 year end results. As part of such announcement, Cybear also commented on its previously announced expectation that, subject to market conditions, Cybear plans to file a registration statement for a public offering of its common stock during the second quarter of 1999. Cybear announced that based on preliminary discussions with its prospective underwriters, the offering price for the shares is expected to be significantly below current market prices. This press release shall not constitute an offering of the common stock which may only be made by means of a prospectus.

Cybear had no revenues for the year ended December 31, 1998 as it was a development stage Company. Revenues were $95,927 for the period from February 5, 1997 (inception) to December 31, 1997 and consisted of software development services rendered to Andrx.

Software development costs were $1,621,422 for the year ended December 31, 1998 compared to $945,497 for the period from February 5, 1997 (inception) to December 31, 1997. Software development costs include outside consultant fees, payroll, benefits and housing expenses of employees involved in the creation, design and development of Cybear's products. Also included in 1997 period are the costs of providing software development services to Andrx. The increase in the software development costs for the year ended December 31, 1998 reflects the progress and expansion of Cybear's development activities.

General and administrative expenses were $2,264,252 for the year ended December 31, 1998 compared to $680,779 for the period from February 5, 1997 (inception) to December 31, 1997. General and administrative expenses include costs incurred in the areas of sales and marketing, network operations and maintenance, administration, and customer support. The increase in general and administrative expenses for the year ended December 31, 1998 relates to the establishment of the administrative, selling and marketing and customer support infrastructure and the establishment of a network operations center See NOC.

In the year ended December 31, 1998, Cybear recorded $159,897 to write-off the unamortized portion of a software license obtained from a third party in 1997. The software was to be used as a means to handle certain types of electronic data interchange See EDI.

In the fourth quarter of 1998, new EDI standards were approved for use in the medical systems community in the U.S. and are now released as open standards Specifications for hardware and software that are developed by a standards organization or a consortium involved in supporting a standard. Available to the public for developing compliant products, open standards imply "open systems;" that an existing component in a system can be replaced  to the development community. Cybear has now adopted these new standards to be compatible with the industry standards and has integrated them into its software development process. This has rendered obsolete the software licensed by Cybear.

In the year ended December 31, 1998, Cybear recorded a settlement charge of $125,000 in connection with a legal settlement reached with Medix Resources, Inc. and Cymedix Lynx lynx, name given to several related small, ferocious members of the cat family. All have small heads, tufted ears, and heavy bodies with long legs and short tails. All are primarily terrestrial, although they are able to climb trees.  Corporation to settle all previously outstanding legal disputes between the companies.

Interest expense was $210,441 for the year ended December 31, 1998 as compared to $28,220 in the period from February 5, 1997 (inception) to December 31, 1997. Interest expense represents interest on advances from Andrx under the Credit Agreement between the two companies to fund Cybear's operations. At December 31, 1998, such net advances including interest amounted to $5,357,179 and bear interest at prime (7.75% at December 31, 1998) plus 1/2%.

Cybear's taxable results are included in the consolidated income tax return of Andrx. Cybear's taxable results will be included in the consolidated income tax return of Andrx as long as Andrx owns at least 80% of the common stock of Cybear. Cybear and Andrx have a tax allocation agreement that provides, among other things, for the allocation of federal income tax liabilities to Cybear at the approximate amounts that would have been computed as if Cybear had filed separate income tax returns.
