(the "Company") announces that it has filed a preliminary prospectus Preliminary Prospectus A first draft registration statement filed by a firm prior to proceeding with an initial public offering of securities. The document, filed with the Securities & Exchange Commission, is intended to provide pertinent information to prospective shareholders with the Ontario, British Columbia and Alberta Securities Commissions. The Company filed the prospectus to qualify the issuance of up to 2,205,000 shares and 2,205,000 warrants issuable under a special warrant private placement agreement which closed September 28, 1995 and raised a total of $4,200,000. Cumberland Resources is a Canadian mineral company with two emerging gold projects, Meliadine (50 percent) and Meadowbank (60 percent) located in the Northwest Territories. Cumberland recently announced the discovery of nickel-copper-cobalt massive sulphide on its Parker Lake project. Cumberland is also actively exploring for volcanogenic vol·ca·no·gen·ic adj.
