Cruzan International, Inc. Announces Signing of Definitive Merger Agreement and Change of Directors.

:RUM) (the "Company"), producer and distributor of the Cruzan line of rums from the Virgin Islands and a leading distiller of rum and brandy, and importer and marketer of premium branded spirits, announced today that the Company has entered into a definitive Agreement and Plan of Merger (the "Merger Agreement"), pursuant to which Cruzan Acquisition, Inc., a Delaware corporation A Delaware corporation is a corporation chartered in the U.S. state of Delaware. Approval of the Merger Agreement and the Merger is conditioned upon the receipt of the affirmative vote of the holders of at least sixty-six and two-thirds percent (66 2/3%) of the Company's outstanding common stock not beneficially owned by ASCI or CAI, and the adoption of the Merger Agreement is conditioned upon the receipt of the affirmative vote of the holders of at least a majority of the Company's outstanding common stock. Approval of the Merger Agreement and the Merger is also conditioned upon, among other things, receipt of appropriate regulatory approvals.
