Announces Return to Profitability

CrossComm Corporation (NASDAQ/XCOM) announced today its revenue and operating results for the first quarter ended March 31, 1997.

Revenue for the quarter was $11,803,000, a 2% increase from revenue of $11,549,000 for the fourth quarter ended December December: see month.  31, 1996, and an 11% increase from revenue in the comparable quarter a year ago. The Company realized Net Income of $358,000 or $.04 per share, compared to a loss of ($1,594,000) or ($0.17) per share in the comparable quarter a year ago. Operating Income Operating Income

On March 20, 1997, the Company entered into an Agreement and Plan of Reorganization with Olicom A/S whereby each outstanding share of the Company will be exchanged for $5.00 in cash, .2667 shares of Olicom stock, and a three year warrant to acquire .1075 shares of Olicom common stock at an exercise price of $19.74 for each full share of Olicom common stock. The business combination is subject to certain conditions and approvals, including the approval of both companies' shareholders.
