:CMDI,CMDIW), announced today that Post Effective Amendment No. 1 to its Form SB-2 Registration Statement under the Securities Act of 1933, as amended, was declared effective by the Securities and Exchange Commission on March 28, 1995.

The amendment covers the 603,750 Redeemable Redeemable

Eligible for redemption under the terms of an indenture.
 Common Stock Purchase Warrants and 603,750 shares of Common Stock, $.01 par value underlying the Warrants, together with 545,000 shares of Common Stock issued to certain investors upon conversion of certain Convertible Subordinated Promissory Notes promissory note, unconditional written promise to pay a certain sum of money at a definite time to bearer or to a specified person on his order. Promissory notes are generally used as evidence of debt. .

The Warrants, Common Stock underlying the Warrants and Common Stock issued upon conversion of the Convertible Notes were previously registered in an initial public offering of the Company's securities pursuant to a Registration Statement on Form SB-2 declared effective by the Securities and Exchange Commission on May 13, 1994.
