) announced today that its Board of Directors has increased the number of shares of its common stock that the Company is authorized to repurchase by 3.0 million shares.

 program in December of 1999 for 3.3 million shares and has repurchased approximately 2.1 million shares under that program through June 30, 2002. With the approved increase, the Company is now authorized to repurchase 4.2 million additional shares under the program.

"Our outstanding performance has afforded us the opportunity to repurchase shares in addition to funding our acquisition strategy. We believe using a portion of free cash to repurchase shares is a prudent way to enhance shareholder value without disrupting our continuing progress in building the Company."

Stock repurchases may be made from time to time at prevailing prices in the open market, by block purchase, or in private transactions. The Company will make the repurchases in compliance with SEC Rule 10b-18. There is no commitment or obligation on the part of the Company to purchase any particular number of shares and the program may be suspended at any time at its discretion.

The Company currently has approximately 59.9 million shares of common stock outstanding.
