:CMFI CMFI Central Multiport Fuel Injection ) announced today that it has signed a letter of intent to acquire Territorial Inns Management Inc., a Nevada Corporation A Nevada Corporation is a corporation chartered under the laws of the U.S. state of Nevada.

Nevada, like the state of Delaware (See Delaware corporation), is well known as a corporate haven.

Territorial Inns Management is in the business of providing management services to the lodging industry and currently is operating facilities with gross revenue in excess of four million ($4 million) annually.

Under the terms of the letter of intent, Country Maid Foods Inc. will acquire all of the common stock of Territorial Inns Management and will operate Territorial Inns as a wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

Notes:
In other words, the parent company owns the company outright and there are no minority owners.
. The companies expect to have a completed purchase agreement by Sept. 30, 1998.

The acquisition of Territorial Inns Management is subject to the completion of the necessary due diligence Research; analysis; your homework. This term has caught on in all industries, because it sounds so "wired." Who would want to do analysis or research when they can do due diligence.
