 a private placement of $19 million of securities through the sale of 6,909,091 shares of common stock at $2.75 per share. These agreements also involve the acquisition by the investors of five-year warrants to purchase an additional 4,490,910 shares of the Company's common stock at an exercise price of $3.25 per share. Rodman & Renshaw, Inc. served as the placement agent for the transaction.
