") announced today that it has entered into an agreement to purchase the shares of Triad Distributors Inc ("Triad") and Global Star Software ("Global Star"), both of Concord, Ontario. Under terms of the agreement Mr. Damian Cristiani and Mr. Craig McGauley, founders of Triad and Global Star, will receive $2.25 million, in a combination of cash and shares of GTI, on closing as consideration for the purchase. The agreement also includes an earn-out provision which would allow Mssrs. Cristiani and McGauley to increase the total consideration paid to them. The transaction is subject to certain conditions including satisfactory due diligence and regulatory approval, and is scheduled to close on December 15, 1998. Mssrs. Damiani and McGauley will continue in their current roles with Triad and Global Star following the acquisition.

Triad is a value-added Canadian distributor of a wide assortment of value-priced PC game and educational software titles as well as premium computer peripherals and accessories. Global Star is a developer and publisher of over 50 software ti parties or owns publishing rights to. The titles range across many categories including games, education, edutainment, business, and desktop utilities. Its products are distributed across four continents and in major retailers in the U.S. and Canada. Consolidated revenues for both companies during the eleven month fiscal period ended June 30, 1998 totaled $6.8 million.

The addition of Global Star is significant as it facilitates GTI's entry into the higher margin business of developing and publishing software. These acquisitions also extend GTI's product offerings into the fast growing PC games and education software markets. GTI is a leading supplier of value-priced, previously played video games for Nintendo, Sega and Sony video game systems to mass merchant retailers and specialty retailers in the United States and Canada. GTI's shares are listed on the Toronto Stock Exchange and trade under the ticker symbol "GTR".
