) a Tulsa based energy company, to acquire an approximate 5% non-dilutable position in EMBI as part of a recently formed strategic alliance and equity exchange.

Additionally, considering the fact that CVIA has been presented with more viable energy related projects than our managerial capacity could allow us to consider created a scenario under which the natural progression was for each company to form a strategic alliance with regards to their energy resources endeavors. Management of both companies feels that this strategic alliance will serve to further and expedite the goals of each company. The EMBI and CVIA Boards of directors felt it would be of mutual benefit to each company to take a minority ownership position of 5% so that both companies and their respective shareholders may realize tangible results of this strategic alliance."
