Company description: Union Planters Corp., headquartered in Memphis, Tenn., is a multi-state bank holding company with 38 banking subsidiaries and 402 locations throughout Tennessee, Mississippi, Missouri, Arkansas, Louisiana, Alabama and Kentucky. Union Planters ended 1995 with total assets of $11.3 billion, total loans of $7.1 billion, and total deposits of $9.4 billion.

Each subsidiary bank in the Union Planters network is operated independently, managed locally, and retains its own board of directors in accordance with the company's long-standing community banking philosophy.

Experience

The company was founded in 1869 as Union and Planters Bank of Memphis, Tenn. The bank survived the devastating Yellow Fever epidemic of 1894, the Great Depression, and two World Wars to emerge as one of the strongest and most secure financial services providers in the U.S. Union Planters has been serving its customers every business day for 126 years.

Significant Projects/Achievements

-- For the last seven years, Union Planters has been expanding

aggressively. Since 1993, 30 acquisitions have been completed

-- 12 banks in 1993, 13 in 1994, three in 1995, and two in

1996. Two more acquisitions are still pending.

-- During the fourth quarter of 1994, Union Planters launched

"The Managing Change Process" to improve financial

performance and customer service through the reengineering

of its retail, lending operations, and deposit-processing

practices. "The Managing Change Process" was implemented by

Alex Sheshunoff Management Services, Inc., of Austin, Texas,

with an emphasis on best practices, fee structures, the

development of a sales culture, centralization of bank

operations, and technology.

-- In 1995, The U.S. Banker ranked Union Planters fifth in

safety out of the top 100 bank holding companies in the

nation.

-- In 1996, Union Planters ventured beyond the Mid-South

with the purchase of Capital Bancorporation, a

$1.1 billion banking organization with offices in

Ashland, Branson, Cape Girardeau, Clayton, Columbia,

Jackson, Marble Hill, Ozark, Perryville, Poplar Bluff Poplar Bluff, city (1990 pop. 16,996), seat of Butler co., SE Mo., in the Ozark foothills, on the low bluffs of the Black River near the Ark. line; inc. 1870. It is a trade, shipping, and medical center in a fertile farming area. Among its manufactures are transportation equipment; plastic, wood, and paper products; furniture; building materials; flour; and shoes. Nearby are Mark Twain National Forest and Wappapello Dam.,

Sikeston Sikeston (sīks`tən), city (1990 pop. 17,641), New Madrid and Scott counties, SE Mo., in the Mississippi plain; inc. 1874. It is the shipping, marketing, and processing center of a cotton, wheat, and soybean region. Manufactures include rope, vending machines, processed foods, apparel, and steel., Springfield, Ste. Genevieve and St. Louis, Mo.

The affiliation was completed on Jan. 1, 1996.

-- Union Planters recently signed a licensing agreement with

Wal-Mart to install 99 ATMs in Wal-Mart stores throughout

Mississippi and Tennessee and in Kentucky and Arkansas.

Union Planters also holds an exclusive ATM contract with

Target stores in Tennessee.

-- In the "Shareholder Scorecard," a special section of The

Wall Street Journal published on Feb. 29, 1996, Union

Planters was ranked third out of 21 of the top performing

banks headquartered in the Southern U.S.

-- Union Planters recently announced plans to acquire Leader

Financial Corp., the $3.1 billion asset parent company

of Leader Federal Bank. The merger will create Tennessee's

largest bank holding company and one of the nation's top 50

institutions with almost $15 billion in total assets. Leader

Federal, founded in 1928, has 23 locations in Memphis,

Nashville and the Johnson City tri-city area.
