    Company description:


    Flagstar Companies, Inc., based in Spartanburg, S.C., is one of
the nation's largest restaurant companies. Flagstar owns and operates
Coco's, Carrows, Denny's, Quincy's Family Steakhouse and El Pollo Loco
restaurants.  It is also the largest franchisee of Hardee's
restaurants.
    The company reported 1995 revenues of $2.6 billion and operating
income of $165 million.  The acquisition of Coco's and Carrows
restaurant chains in 1996 brings the company's total revenues to
nearly $3 billion.  Twelve-month common stock (NASDAQ: National
Market System: FLST) closing price high and low are 6-1/8 and 2-7/8,
respectively, for the June 1995 through May 31, 1996 period.
    Flagstar employs approximately 100,000 people systemwide.
The company serves over 2 million customers a day at its more than
2,900 restaurant operations.
    Denny's, the nation's largest full-service family restaurant
chain, has over 1,500 company and franchise restaurants across
the United States, two U.S. territories and three foreign countries.
    Flagstar operates nearly 600 Hardee's restaurants in nine
Southeastern states and Arkansas, Ohio and Pennsylvania.
    Quincy's Family Steakhouse is among the leading family
steakhouse chains in the Southeast with nearly 200 restaurants in nine
states.
    El Pollo Loco, a quick service chain with over 200 restaurants
concentrated primarily in California, features flame-broiled chicken
and Mexican style dishes.
    Coco's is a bakery restaurant chain with 170 units, primarily in
California, with additional locations in Arizona, Texas, Washington,
Colorado, and Missouri.
    Carrows, a regional family restaurant chain, operates 157
restaurants primarily in California, with other locations in
Arizona, Texas, Oregon, Nevada, Washington and New Mexico.
