Corillian Corporation Acquires Hatcher Associates Inc.; Acquisition Expands Corillian's Industry-Leading Implementation Knowledge and Expertise.

HILLSBORO, Ore.--(BUSINESS WIRE)--Nov. 27, 2000

Corillian Corp. (Nasdaq:CORI), a leading provider of eFinance solutions, today announced it has acquired privately-held Hatcher Associates Inc., a leading software integration, implementation and consulting firm focused on applications for consumer banking.

Hatcher Associates Inc. will be a wholly-owned subsidiary of Corillian Corporation and will change its name to Corillian Services, Inc.

Under the terms of the agreement, Corillian will issue up to 1,829,186 shares of its common stock to the shareholders of Hatcher Associates. This number is subject to reduction upon certain conditions. The maximum purchase price is approximately $24 million, based on a price of $12.84 for each Corillian share.
