Each Unit consists of one common share priced at $0.50 each and one warrant entitling the holders thereof to purchase one additional common share at a price of $0.75 each until March 30, 2003. 700,000 Units and 252,839 common shares issued pursuant to the offering are subject to a 12-month hold period. The proceeds of the private placement are being used for general working capital. The Company also reports that it has granted, to a total of 95 individuals, incentive stock options to purchase up to an aggregate of 372,500 common shares at a price of $0.63 per share until April 20, 2006. These options have been granted in accordance with the terms of the Company's stock option plan.
