Continental Announces Additional Shares for Debt Agreement.


TORONTO -- Debt for Shares Conversion

Further to its News Release dated September 10, 2004 Continental Cash Technologies Corporation (the "Company") is pleased to announce the approval from certain Debt Holders of the Company to convert additional debt outstanding in the amount of $145,000 into Common Shares of the Company at the rate of $0.15 per Share for a total Debt Conversion amount of $643,350 of which $245,000 is held by Insiders.

Conditional upon TSX Venture Exchange TSX Venture Exchange

Originally called the Canadian Venture Exchange (CDNX), this was a result of the merger of the Vancouver and Alberta stock exchanges. The goal of TSX Venture Exchange is to provide venture companies with effective access to capital while protecting investors.
 approval of the Shares for Debt transaction, the Company will issue a total of 4,289,000 Common Shares which Shares will be subject to a minimum four month hold period.
