Contango Issues $30 Million of a Series E Perpetual Preferred Stock.

:MCF) announced today that it has entered into agreements to sell $30.0 million of its Series E Preferred Stock Stock shares that have preferential rights to dividends or to amounts distributable on liquidation, or to both, ahead of common shareholders.

Preferred stock is given preference over common stock. Holders of preferred stock receive dividends at a fixed annual rate.
. The shares will be purchased by a group of private investors, subject to customary closing conditions on May 17, 2007. The Series E Preferred Stock is perpetual and is convertible at any time into shares of Contango common stock at a price of $38.00 per share. The dividend on the Series E Preferred Stock can be paid quarterly in cash at a rate of 6.0% per annum Per annum
