, at 10:30 a.m., Tuesday, May 21, 2002.

The meeting room will open to stockholders at 9:45 a.m.

Conoco will host a continental breakfast in the Victories Room of the Omni Westside, starting at 9 a.m. for media wishing to attend the meeting. Media credentials for the meeting may be obtained at the breakfast.

Cameras and sound recording equipment will not be allowed into the meeting and only questions from registered stockholders will be entertained from the floor.

Conoco Chairman and CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board.  Archie W. Dunham will be available for media questions following the meeting.
