Concert Industries Ltd. -- European expansion.

VANCOUVER, British Columbia--(BUSINESS WIRE)--Dec. 19, 1995--The Directors of Concert Industries Ltd. (ME/VSE:CNG) announced the signing of a letter of intent for the acquisition of a 100-percent interest in Airlaid Products Neurenberg GmbH (APN) for total consideration of 4.3 million Deutsche Marks.

APN is a German producer of quality latex-bonded products, with distribution throughout Europe. The manufacturing facility in Neurenberg has 35 employees, produces 1,500 tonnes of material annually with total sales of $9 million CND.

Under the terms of the agreement, Concert acquires 52 percent of the outstanding APN shares on Feb. 1, 1996; 24 percent of the outstanding shares on Feb. 1, 1997; and the remaining 24 percent outstanding shares on Feb. 1, 1998. The acquisition is subject to regulatory approval.

Through the purchase of APN, Concert acquires a skilled German work force and an experienced management team. These individuals will be instrumental in the installation and operation of Concert's new German facility expected to be opened in the first quarter of 1997.

The company has also received an option to purchase a 110,000-square-foot facility in Germany. The existing facility is well-suited for Concert's new air-laid machine and its strategic location will minimize shipping costs to the company's European customers.
