ConAgra Foods Announces Redemption of Series B Preferred Securities.

:CAG CAG 1 Chronic atrophic gastritis 2 Coronary angiography, see there ), one of North America's leading packaged food companies, announced today that its finance subsidiary, ConAgra Capital, L.C., will redeem all 7 million of its Series B Adjustable Rate Cumulative Preferred Securities on Feb. 3, 2005. The Series B preferred securities, the remaining publicly owned securities of ConAgra Capital, are traded on the New York Stock Exchange New York Stock Exchange (NYSE)

Each of the Series B preferred securities will be redeemed at $25.00 plus accumulated and unpaid dividends of approximately $0.0104, for a total payment of approximately $25.0104 per security, an aggregate redemption price of approximately $175 million. The last regular monthly dividend on the Series B preferred securities will be paid on Jan. 31, 2005 to holders of record as of Jan. 28, 2005.

The preferred securities are in book-entry form and will be paid through the Depository Trust Company Depository Trust Company (DTC)
