) today announced that Daniel DelGiorno (Sr.) was retiring from his Chairman and officer positions with the company, and that the Board elected James Cannavino to complete Mr. DelGiorno's term and to act as Chairman of the Board until the next annual shareholder's meeting.

In conjunction with the agreement of Mr. Cannavino to head up the company, and having recently completed the company's most significant achievements with the completed sales in January of the company's investments in Softworks, Inc. (purchased in 1993 for $2 million and 100,000 shares of common stock and sold for approximately $61 million) and in February of its ComputerCop assets for $35 million, the company's President and CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board. , Daniel DelGiorno (Jr.), informed the Board that he was electing to retire from his positions as a director and officer concurrent with his father's retirement in order to spend more time with his family in retirement. Mr. DelGiorno noted that the company is ready to move up to a new level of performance and is extremely fortunate to have a proven industry leader and luminary, James Cannavino, agreeing to accept the leadership role. Anthony Coppola, Executive Vice-President in charge of the company's d.b.Express internet telecommunications business, was named as acting President pending further actions by the Board.

James Cannavino, the new Chairman of the company, stated that management believes the market price of the company's stock still does not reflect the value of the company's assets and business, despite several noteworthy achievements, including being named regionally as one of the industry's fastest growing technology companies in each of the prior three years (in Deloitte & Touche's Annual Technology Fast 50 awards program), and additionally, the recent declaration of the company's second dividend ($.10 per share to shareholders of record on March 15, 2000, payable on May 1, 2000), and most significantly, the Softworks and ComputerCop sales transactions. He said, "The DelGiorno's did a remarkable job in guiding this company to its present position and have established the foundations for success. The recent sales transactions will enable the company to re-focus it efforts on its internet telecommunications applications, which under the new leadership we are bringing to the Board, along with Mr. Coppola, are positioned for growth to new levels. The Board will be considering additional actions to position the company for growth in the future and to maximize shareholder values."

James Cannavino, the new Chairman of the Board, has extensive experience in the computer industry including serving as a board member for several computer industry companies, and as the CEO and Chairman of Cybersafe Corporation. Prior to joining Cybersafe, Mr. Cannavino served as President of Perot Systems Perot Systems Corporation NYSE: PER is an information technology services provider based in Plano, Texas. Peter Altabef has served as president, chairman, and chief executive officer since 2004.  Corporation, which grew from $300 million to more than $800,000 million under his leadership, and prior to Perot, he was a senior executive at IBM (International Business Machines Corporation, Armonk, NY, www.ibm.com) The world's largest computer company. IBM's product lines include the S/390 mainframes (zSeries), AS/400 midrange business systems (iSeries), RS/6000 workstations and servers (pSeries), Intel-based servers (xSeries) , holding numerous executive management positions. As a 32 year veteran at IBM Corporation, Mr. Cannavino retired from IBM in March, 1995 as Senior Vice President for Strategy and Development.
