 program. The Company has previously authorized 112.5 million shares under this program. The Company's Board of Directors has approved the repurchase of an additional 36.875 million shares, or a total of 149.375 million shares in the open market under this program.

Including previous repurchase programs, the total amount authorized is 200 million shares, of which approximately 136 million have been repurchased through September 30, 1998. Any shares repurchased will be used for general corporate purposes. Computer Associates has approximately 550 million shares outstanding as of September 30, 1998.

Computer Associates also announced that it will use a number of agents and brokers in connection with the purchase.

All share amounts above have been adjusted to reflect the three-for-two stock splits effective August 21, 1995, July 15, 1996 and November 5, 1997.
