Acquisition of Vectoria, Inc.

The Company has completed its transaction with Filton International Ltd. ("Filton") pursuant to an agreement between the parties dated as of October 2, 2001. The Company acquired all of the issued and outstanding shares in the capital of Vectoria, Inc., a Delaware corporation, from Filton in consideration for the issuance to Filton of 13,000,000 shares of common stock in the capital of the Company. Filton concurrently acquired 11,100,000 shares of common stock from the major shareholder of the Company and, as a result, is now the majority shareholder of the Company.

Vectoria is a telecommunication and information technology convergence company. It is currently deploying an extended local telephone calls network over a private high speed fibre-optic infrastructure which is intended to cover 15 of the largest metropolitan areas in Canada. This will allow the Company to service over 450 municipalities. In 2002 and 2003 respectively, Vectoria intends to expand its network to large U.S. metropolitan areas and then to the major European metropolitan areas. Through this network, Vectoria customers will be able to communicate within and between these metropolitan areas without incurring any long distance charges.

Vectoria's mission is to provide, at the price of basic service, worldwide extended local telephone service in place of the traditional telephone company limited local telephone service boundaries. Name Change to Vectoria Inc.

In connection with the acquisition of Vectoria, Inc., the Company has changed its name to "Vectoria Inc." effective November 14, 2001 further to written shareholder consents received. All registered shareholders of the Company will be sent a notice of the name change with a letter of transmittal Letter of Transmittal

Michel Plante - Vice President, Chief Financial Officer and

Director

Richard St-Julien - Secretary and Director

Moishe Zefrani continues as a director of the Company.

The following is some background information on the new directors and officers of the Company:

Serge Doyon has been working in Telecommunications since 1969 and holds Bachelors of Arts (Laval University), Bachelor of Business Administration “BBA” redirects here. For other uses, see BBA (disambiguation).

The Bachelor of Business Administration (BBA) is a bachelor's degree in business studies.
 (Montreal University) and Master of Business Administration (Montreal University) degrees. At Bell Canada for 12 years, he has been successively responsible in the Quebec Region for Sales Management, Market Management, Marketing Research, Promotional Activities and Portfolio Management. In 1981, he founded Incotel Communication Systems Inc. and assumed its leadership. In 1998, telephony operations of Incotel were acquired by Groupe Videotron Ltee. Mr. Doyon has been involved with Vectoria, Inc. as a telecommunications consultant since May 2001.

Michel Plante is a chartered accountant and holds a Bachelor of Commerce The Bachelor of Commerce is a bachelor's degree in business management, accounting and economic fields. The degree is also known as the Bachelor of Commerce and Administration (BCA).  degree from McGill University. He was with Coopers & Lybrand for the first ten years of his career and has been involved with numerous high-tech companies in the computer and telecommunication industries. Mr. Plante has played a role of financial consultant to Vectoria, Inc. since May 2001.

Richard St-Julien is a lawyer who received his Bachelor of Laws Bachelor of Laws n. the degree in law from a law school, abbreviated to LLB, which means that recipient has successfully completed three years of law studies in addition to at least three undergraduate years on any subject.  degree from the University of Ottawa
