There were 999,994 units issued on June 24, 1999 at $3.00 per share for gross proceeds of $2,999,982. Each unit will consist of one common share and one non-transferable share purchase warrant (the "warrant"). Each warrant will entitle the holder to purchase one common share of the Company at a price of $3.50 per share for one year. The shares issued pursuant to the private placement are subject to a four-month hold period.
